Welcome to InstituVo, a cloud-based Institute ERP SaaS platform operated under Learn18. By accessing or using our website, mobile applications, or services (collectively, the “Services”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, please do not use the Services.

1. Definitions

“InstituVo” refers to the ERP platform and services provided by Learn18.
“Learn18” refers to the parent brand and service operator.
“User” refers to institute administrators, staff, teachers, students, or any authorized person using the Services.
“Institution” refers to the organization subscribing to InstituVo.

2. Eligibility & Account Registration

Users must be legally capable of entering into a binding agreement.
Institutions are responsible for all activities performed under their account.
Accurate and complete information must be provided during registration.
Login credentials must be kept confidential.

3. Scope of Services

InstituVo provides an integrated ERP solution including, but not limited to:

Student and staff management
Admissions and enrollment
Attendance, exams, and academic records
Fees, invoicing, and financial reports
Communication and notifications
Reports and analytics

Service features may vary based on the selected plan.

4. Subscription, Fees & Payments

InstituVo operates on a subscription-based SaaS model.
Fees are payable in advance as per the selected plan.
All payments are non-refundable unless explicitly stated otherwise.
Taxes (GST or other applicable taxes) may be charged as per law.
Failure to pay may result in service suspension or termination.

5. Data Ownership & Responsibility

All institutional, student, and staff data uploaded remains the property of the respective institution.
Institutions are responsible for obtaining all necessary consents for data uploaded to the platform.
InstituVo does not claim ownership over user data.

6. Acceptable Use Policy

Users agree not to:

Use the Services for illegal or unauthorized purposes
Upload false, misleading, or harmful data
Attempt to breach platform security or access restricted areas
Disrupt or interfere with system performance
Copy, reverse engineer, or resell the platform without authorization

7. Intellectual Property Rights

All software, designs, logos, trademarks, and content related to InstituVo are the intellectual property of Learn18.
Users are granted a limited, non-transferable, revocable license to use the Services.
Unauthorized reproduction or distribution is strictly prohibited.

8. Service Availability & Maintenance

We strive for high availability but do not guarantee uninterrupted service.
Scheduled maintenance or updates may cause temporary downtime.
InstituVo is not liable for interruptions caused by third-party services, internet failures, or force majeure events.

9. Third-Party Integrations

InstituVo may integrate with third-party services such as payment gateways, SMS providers, or email services.
We are not responsible for the availability, accuracy, or policies of third-party services.

10. Termination & Suspension

We reserve the right to:

Suspend or terminate accounts for violation of these Terms
Restrict access due to non-payment or misuse
Terminate services with prior notice where feasible

Upon termination, access to the Services may be disabled, and data may be deleted after a retention period.

11. Limitation of Liability

To the maximum extent permitted by law:

InstituVo and Learn18 shall not be liable for indirect, incidental, or consequential damages
We are not responsible for data loss due to user negligence or external factors
Total liability shall not exceed the amount paid by the institution in the preceding subscription period

12. Indemnification

You agree to indemnify and hold harmless InstituVo and Learn18 from any claims, damages, losses, or expenses arising from:

Misuse of the Services
Violation of these Terms
Breach of applicable laws or third-party rights

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of the courts of India.

14. Changes to Terms

We may update these Terms from time to time.
Continued use of the Services after updates constitutes acceptance of the revised Terms.
